3. Fair Value Measurements
 
In determining fair value, the Company utilizes techniques that optimize the use of observable inputs, when available, and minimize the use of unobservable inputs to the extent possible.  At December 31, 2013 and 2012, assets measured at fair value on a recurring basis consisted of cash and cash equivalents of approximately $45.3 million and $28.4 million, respectively.  Based on the short-term liquid nature of these assets, the fair value, determined using level 1 inputs, is equivalent to the recorded book value.
