Item 7.01. Regulation FD Disclosure.

On May 13, 2009, AgFeed Industries, Inc. (the "Company") issued a press release announcing that it had entered into a letter of intent to create a joint venture with M2P2, a leading US hog production and industry management consulting company. A copy of the press release is attached hereto as Exhibit 99.1.

Beginning on May 13, 2009, the Company will be making the investor presentation furnished as Exhibit 99.2 hereto. Exhibit 99.2 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended (the "Securities Act"), or the Exchange Act.
