Item 8.01.Other Events.

On August 24, 2007, AgFeed Industries, Inc. (“AgFeed”) issued a press release announcing that the NASDAQ Stock Market approved its common stock for listing. A copy of this release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On August 27, 2007, AgFeed issued a press release announcing that the NASDAQ Stock Market approved the change of its stock trading symbol from "AGFI" to "FEED." A copy of this release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.

AgFeed Industries Approved for Listing on the Nasdaq Stock Market

NEW YORK, August 24, 2007 -- AgFeed Industries, Inc. (OTC BB: AGFI, website: www.agfeedinc.com), a leader in China's premix animal nutrition industry, today announced that AgFeed received listing approval to list its common stock on the Nasdaq Stock Market. AgFeed anticipates that Nasdaq trading of its stock will commence on Wednesday, August 29, 2007.

AgFeed Industries Announces New Stock Symbol - “FEED”

NEW YORK, August 27, 2007 -- AgFeed Industries, Inc. (OTC BB: AGFI, website: www.agfeedinc.com), a leader in China's premix animal nutrition industry, announced that in connection with its previously announced listing approval of its common stock on The Nasdaq Stock Market, that Nasdaq has approved AgFeed’s request to change its stock trading symbol from “AGFI” to “FEED” to better reflect the Company’s business. AgFeed’s shares will commence trading on Nasdaq under the new stock symbol on Wednesday, August 29, 2007.
