Item 5.03 Amendments to Articles of Incorporation or Bylaws: Change in Fiscal Year

On November 17, 2006, the registrant’s wholly owned subsidiary, AgFeed Industries, Inc. merged into registrant and in the merger, the name of registrant was changed to AgFeed Industries, Inc.

Item 8.01 Other Events

The registrant declared a stock dividend of two additional shares of common stock for each share of common stock outstanding on the record date of November 17, 2006, such stock dividend to be distributed on November 20, 2006.
