Paramount Acquisition Corp. Announces Special Meeting of Stockholders to be
held on October 17, 2007 to Vote Upon the Proposed Acquisition of Chem Rx


 

NEW YORK, NY, October 1, 2007—Paramount Acquisition Corp. (OTCBB: PMQC, PMQCU, PMQCW) announced today that the special meeting of Paramount’s stockholders to consider and vote on the previously announced acquisition of Chem Rx will be held on October 17, 2007, at 10:00 a.m., eastern time, at the offices of Covington & Burling LLP, Paramount’s counsel, at 620 Eighth Avenue, New York, New York 10018.  Stockholders of record as of October 1, 2007 will be invited to attend the special meeting and vote on four proposals, including (1) to adopt the Stock Purchase Agreement, dated as of June 1, 2007, among Paramount, Chem Rx and the Sellers and the transactions contemplated thereby; (2) to approve the 2007 Incentive Compensation Plan (an equity-based incentive compensation plan); (3) to approve an amended and restated certificate of incorporation of Paramount; and (4) to approve the adjournment of the special meeting to a later date or dates if necessary to solicit additional proxies for approval of any of the proposals above.

On October 2, 2007, or as soon thereafter as possible, Paramount expects to file its definitive proxy statement with the Securities and Exchange Commission and to commence mailing to each stockholder of record on October 1, 2007.  Stockholders of Paramount are advised to carefully read the definitive proxy statement because it will contain important information about the special meeting and the matters to be voted on.
