Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective April 1, 2019, the Board of Directors (“Board”) of the Federal Home Loan Bank of Pittsburgh (“Bank”) elected Angel L. Helm, retired Managing Director of Wells Fargo Securities and current Interim CEO of Olivet Boys and Girls Club, and Cheryl L. Johnson, Vice Chancellor of Human Resources at the University of Pittsburgh, to fill its vacant Independent Director positions.  Ms. Helm was elected, in accordance with the rules of the Federal Housing Finance Agency, to serve the remainder of former Independent Director John K. Darr’s term which expires on December 31, 2019. Ms. Johnson was elected, in accordance with the rules of the Federal Housing Finance Agency, to serve the remainder of former Independent Director Teresa Bryce Bazemore’s term which expires on December 31, 2020.

Ms. Helm will serve as a member of the Audit; Enterprise Risk Management; and Finance Committees of the Board.  Ms. Johnson will serve as a member of the Affordable Housing, Products & Services; Enterprise Risk Management; and Human Resources & Office of Minority and Women Inclusion Committees of the Board.  

Ms. Helm and Ms. Johnson will each be compensated in accordance with the Bank’s 2019 Directors’ Compensation Policy described in the Bank’s Annual Report on Form 10-K for the fiscal year ended December 31, 2018 filed with the Securities and Exchange Commission on March 11, 2019.
