This option, which provided for vesting with respect to 1/4 of the shares on January 22, 2008 and 1/36 of the remaining shares to vest and become exercisable each month thereafter for 36 months, was canceled in the Merger in exchange for a cash payment representing the number of shares of ev3's common stock underlying such option multiplied by the difference between the exercise price of the option and the per share purchase price of $22.50. This option, which provided for vesting with respect to 1/4 of the shares on October 4, 2008 and 1/36 of the remaining shares to vest and become exercisable each month thereafter for 36 months, was canceled in the Merger in exchange for a cash payment representing the number of shares of ev3's common stock underlying such option multiplied by the difference between the exercise price of the option and the per share purchase price of $22.50. This option, which provided for vesting with respect to 1/4 of the shares on February 12, 2010 and 1/36 of the remaining shares to vest and become exercisable each month thereafter for 36 months, was canceled in the Merger in exchange for a cash payment representing the number of shares of ev3's common stock underlying such option multiplied by the difference between the exercise price of the option and the per share purchase price of $22.50. /s/ Kevin M.
