1. Syd Ghermezian is Manager of Regent Venture V LLC and Braesridge Energy LLC. Regent Venture V LLC owns 70% of Braesridge Energy LLC.

2. The includes 1,200,000 shares held by Braesridge Energy LLC on behalf of Regent Venture V LLC. Mr. Ghermezian disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.

3. Such shares are held by Braesridge Energy LLC, Regent Venture V LLC and Mr. Ghermezian, who disclaim beneficial ownership of the reported securities except to the extent of their pecuniary interest therein.
