Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 16, 2022, Bao D. Truong, who has served as a director of Genco Shipping & Trading Limited (the “Company”) since July 2014, informed the Company of his intention to resign as a director.  The following day, Mr. Truong resigned.  Mr. Truong is a Senior Managing Director at Centerbridge Partners, L.P., and its affiliated investment funds have been among Company’s largest shareholders in recent years.  As such funds recently reduced their ownership of the Company’s stock, Mr. Truong informed the Company that he was tendering his resignation to focus on other activities.  Mr. Truong stated that his departure did not reflect any disagreement with the Company.
