(d) Election of Directors

On October 8, 2020, Mr. Thomas H. Olson, Jr., Chairman and CEO of Points West Community Bank, in Windsor, Colorado, was deemed elected as a member director of the Federal Home Loan Bank of Topeka (FHLBank) from the State of Colorado for a four-year term commencing January 1, 2021, and expiring December 31, 2024.

The member directorship is being filled without election because only one nominee, Mr. Olson, accepted the nomination for the one member directorship up for election in Colorado in 2020. Mr. Olson was deemed elected to FHLBank’s board of directors in accordance with the rules governing the election of Federal Home Loan Bank directors specified in the Federal Home Loan Bank Act of 1932, as amended (Bank Act), and the regulations of the Federal Housing Finance Agency (FHFA).

At the time of filing there has been no determination on which committees Mr. Olson may serve in 2021.

Pursuant to the Bank Act and FHFA regulations, the majority of FHLBank’s directors, known as member directors, are elected by FHLBank’s membership in each state. The remaining directors, known as independent directors, are elected through district-wide elections. In the normal course of its business, FHLBank extends credit to members whose officers or directors may serve as member directors of FHLBank. All loans extended by FHLBank to such members are on market terms that are no more favorable to them than the terms of comparable transactions with other members.

FHLBank expects to compensate its directors pursuant to FHLBank’s 2021 Board of Directors Compensation Policy, which has not yet been approved by FHLBank’s board of directors.
