Explanation of Responses:
1. The securities reported herein as being acquired by Mr. Textor on January 18, 2008 were acquired in a privately negotiated transaction for an aggregate purchase price of $112,500.
2. Consists of 28,460 shares owned by Wyndcrest BabyUniverse Holdings, LLC, 579,458 shares owned by Wyndcrest BabyUniverse Holdings II, LLC, and 1,209,006 shares owned by Wyndcrest BabyUniverse Holdings III, LLC ("WBUH III"). Mr. Textor holds sole investment and voting power over the shares of The Parent Company held by each of these entities.
3. The shares underlying these call options (right to buy) are held by WBUH III.
4. Purchase by Mr. Textor of 714 and 1,836 call options (obligations to sell) originally granted by WBUH III on October 12, 2007, as reported in rows 6 and 7, respectively, of Table II of the Form 4 filed by Mr. Textor on October 16, 2007.
