Item 1.01 Entry into a Material Definitive Agreement.

On January 25, 2006, the Compensation Committee of the Board of Directors of Alpha Natural Resources, Inc. (the "Company") established that the performance goals and target bonuses for 2006 for its executive officers under its Annual Incentive Bonus (AIB) Plan will be the same performance goals and target bonuses approved by the committee for 2005 as reported in the Company’s Current Report on Form 8-K filed with the SEC on April 27, 2005 (the "2005 8-K"). Item 1.01 of the 2005 8-K is incorporated by reference herein.
