Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Resignation of Director
     On June 2, 2010, David Kroin resigned from the board of directors of Biodel Inc. (the “Company”).
Election of Director
     On June 3, 2010, the Company issued a press release (the “Press Release”) announcing the election of Donald Casey Jr. to its board of directors on June 2, 2010. Mr. Casey filled the vacancy created by the resignation of Mr. Kroin. He has been named a member of the audit committee.
     As a result of his election, Mr. Casey has been granted options to purchase 25,000 shares of the Company’s common stock pursuant to the Company’s stock incentive plan. Such options will vest in twelve equal monthly installments on the last day of each month beginning on the date of grant.
     A copy of the Press Release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
