Item 5.02  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On April 19, 2009, Motti Gil, IXI Mobile, Inc.’s Chief Financial Officer, notified the company that he would leave his position at the end of a sixty day notice period.  IXI Mobile, Inc. expects to name a successor for this position prior to Mr. Gil’s departure.
