These shares of common stock were sold pursuant to a Rule 10b5-1 Sales Plan. Of the 269,961 options held prior to the reported transaction, 203,382 were vested and exercisable and 66,579 vested on April 18, 2006. Of the 204,861 options held prior to the reported transaction, 138,282 were vested and exercisable and 66,579 vested on April 18, 2006. These options will vest in equal annual installments over the five-year period following August 1, 2005.
