Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 10, 2023, the board of directors (the “Board”) of Builders FirstSource, Inc. (the “Company”) appointed Dave Rush as the Company’s Chief Executive Officer. Mr. Rush had previously served as the Company’s Interim Chief Executive Officer since November 18, 2022.

Biographical and other information regarding Mr. Rush was included in the Company’s Current Report on Form 8-K filed with the SEC on November 23, 2022. There is no change to Mr. Rush’s compensation in connection with his appointment as permanent Chief Executive Officer from what was described in the Company’s Current Report on Form 8-K filed with the SEC on November 23, 2022.

On January 10, 2023, the Company issued a news release announcing the Chief Executive Officer appointment noted above. A copy of the news release is attached hereto as Exhibit 99.1.
