This grant resulted from the Company's determination to make the incentive payment for 2011 under the Company's Annual Incentive Plan in the form of restricted stock units that fully vested on the first anniversary of the grant date, rather than in cash. The original Form 4, filed with the SEC on behalf of the reporting person on March 18, 2013, erroneously overstated the number of shares of common stock withheld by the Company to satisfy tax withholding obligations in connection with the vesting of restricted stock units and did not reflect the number of shares sold by the reporting person to the Company to cover the tax withholding in excess of the federal required rate in accordance with the 2008 Stock Incentive Plan.
