Wasserstein, the Chairman and CEO of Lazard Ltd.  These Wasserstein family trusts hold Class II

Interests in LAZ-MD Holdings LLC that are exchangeable for 7,978,859 shares of Class A Common

Stock of Lazard Ltd.  As trustee , Mr. Jones has shared voting and dispositive power over these Class

 II Interests in LAZ-MD Holdings LLC.  Mr. Jones is also trustee of the Grantor Retained Annuity Trust

under Article FIRST of the Bruce Wasserstein 2005 Trust, which holds Class II Interests in LAZ-MD

Holdings LLC that are exchangeable for 1,979,337 shares of Class A Common Stock of Lazard Ltd

  As trustee, Mr. Jones has sole voting power over these shares, but no dispositive power.  Mr. Jones

does not have a pecuniary interest in any of these Class II Interests of LAZ-MD Holdings LLC, and

 accordingly does not report holdings of the trusts on this Form.



I hereby appoint Scott D. Hoffman, with full power of substitution and resubstitution, my true and lawful

attorney-in-fact to execute and file such documents and other information, including amendments and

exhibits thereto, as may be required to be filed, or which such attorney-in-fact may deem to be

desirable to be filed, pursuant to Section 13 and Section 16 of the Securities Exchange Act of 1934,

including, without limitation, Form 3s, Form 4s, and Form 5s, with the United States SEC and, if
