Item 5.05 AMENDMENT TO REGISTRANT’S CODE OF BUSINESS CONDUCT AND ETHICS

At a meeting held June 1, 2006, the Company’s Board of Directors amended our Code of Business Conduct and Ethics (the “Code”) to add a provision prohibiting employees, officers and directors from knowingly taking any action which has the effect of overriding Registrant’s financial controls, providing for an annual review of the Code and providing that the Code may be modified or amended by the Board at any time. A copy of the revised Code, with new provisions in bold, is filed as Exhibit 99.1.
