7.Related Party Transactions



As of March 31, 2019, the Company owed $5,000 to a consultant firm who is an affiliate of a significant holder of the Company.  No such services were provided and owed to the consulting firm for the three and nine months ending December 31, 2019. During the three and nine months ended December 31, 2018, the Company incurred $136,000 in consulting fees to a consultant firm who is an affiliate of a significant shareholder of the Company. 



The Company purchased $11,000 of equipment from Motorola for the nine months ended December 31, 2019. The Company did not purchase any equipment for the three months ended December 31, 2019.  The Company purchased $0.2 million and $0.4 million of equipment from Motorola for the three and nine months ended December 31, 2018, respectively. The Motorola revenue recognized for the three and nine months ended December 31, 2019 and 2018 were approximately $183,000 and $547,000, respectively.  As of December 31, 2019 and March 31, 2019, the Company owed $90,000 and $60,000 to Motorola, respectively.



Under the terms of the MOU, the Company is obligated to pay the LLC a monthly service fee for a 24-month period ending on January 7, 2021 for its assumption of the Company’s support obligations under the A BEEP and Goosetown agreements.  The Company is also obligated to pay the LLC a certain portion of the billed revenue received by the Company from pdvConnect customers for a 48-month period. For the three and nine months ended December 31, 2019, the Company incurred $215,000 and $729,000 under the MOU, respectively.  As of December 31, 2019 and March 31, 2019, the Company owed $16,000 and $118,000 to the LLC, respectively.
