On September 11, 2024, the Board of Directors of the issuer approved a grant of restricted stock units to the reporting person, effective January 1, 2025 and contingent on the closing of the transactions contemplated by the Agreement and Plan of Merger dated as of September 12, 2024, by and among the issuer, Tadano Ltd. and Lift SPC Inc. (the "Merger Agreement"). The closing occurred on January 2, 2025. Consists of a grant of 50,000 shares, contingent on the closing of the Merger Agreement, of which one-third will vest on January 1, 2026, one-third will vest on January 1, 2027 and one-third will vest on January 1, 2028.
