Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On December 19, 2023, Shineco, Inc. (the “Company”) through a board resolution amended and restated its bylaws, effective immediately, to reduce the quorum necessary for a stockholder meeting to the holders of one-third (33.33%) of the votes which could be cast by the holders of all outstanding shares of stock entitled to vote at the meeting.

 

A copy of the second amended and restated bylaws is attached as Exhibit 3.1 to this report and incorporated into this Item 5.03 by reference.
