In lieu of issuing any fractional shares resulting from the Stock Splits, the Issuer shall distribute a cash payment for all such fractional shares to the owners thereof following the aggregation and sale by the Issuer's transfer agent of all fractional shares resulting from the Stock Splits. The sale of all such fractional shares was consummated on March 4, 2010. The number of shares of the Issuer's Common Stock being reported in Column 5 gives effect to the Stock Splits and the compulsory disposition by the Reporting Person of one and one-tenth shares.
