The limited liability company continues to hold the 250,000 shares of common stock contributed by Mr. Harvey. Mr. Harvey disclaims beneficial ownership of these shares except to the extent of his pecuniary interest. Represents the withholding by the issuer of shares of common stock in connection with the reporting person's tax obligations upon the vesting of previously reported RSUs and delivery of the common stock underlying such RSUs.
