The RSUs will become vested in three equal annual installments starting on the first anniversary of the grant date, June 26, 2009.  The reporting person will not have any of the rights or privileges of a stockholder with respect to shares of common stock underlying the RSUs, such as the rights to vote and dispose of such shares, unless and until the RSUs vest and certificates representing such shares are deliverable.</footnote>
