Held by the Staszak Family Living Trust, of which the reporting person is a co-trustee. Pursuant to the terms of the Merger Agreement, each stock option that was outstanding and unexercised as of the Effective Time (as defined in the Merger Agreement) and not being substituted with a Substitute Option (as defined in the Merger Agreement), whether or not vested, was cancelled and converted into the right to receive $23.00 per share (minus the exercise price of the option) in cash, without interest, subject to any required withholding of taxes.
