 issuances and certain other events relating to the Common Stock.</footnote>
        <footnote id="F2">The Note may be converted at any time and at the discretion of the holder after the earlier to occur of October 31, 2008 and
 the completion of an underwritten public offering of Synutra Common Stock in which Synutra issues new shares that constitute
 at least 10% of its outstanding Common Stock.</footnote>
        <footnote id="F3">This number of shares assumes that the conversion price is the maximum dollar amount allowed pursuant to the terms of the
 Note, $40.00 per share.  However, although the conversion price is ultimately subject to the terms of the Note, in no event
 will the conversion price be less than $30.00 per share nor more than $40.00 per share.</footnote>
        <footnote id="F4">The direct owner of the securities is Beams Power Investment Limited, or Beams, a British Virgin Islands company.  Xiuqing
 Meng is the sole shareholder and director of Beams.  Xiuqing Meng's husband, Liang Zhang, has dispositive and voting power
 over investments by Beams.  Xiuqing Meng disclaims beneficial ownership of the securities held by Beams, except to the
 extent of her pecuniary interest therein.</footnote>
