At Market Issuance Sales Agreement

In September 2013, the Company entered into an At Market Issuance Sales Agreement (ATM Agreement) with MLV & Co LLC (MLV) to issue and sell up to $50.0 million of shares of common stock. Pursuant to the terms of the ATM Agreement, the Company will pay directly to MLV fees of 3% of the gross proceeds of any equity securities sold pursuant to the ATM Agreement. No shares of common stock have been sold pursuant to the ATM Agreement.
