Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 8, 2023, the Board of Directors (the "Board") of The Boeing Company (the "Company") elected Stephanie F. Pope to serve as Executive Vice President and Chief Operating Officer, effective January 1, 2024. Ms. Pope, 51, has served as Executive Vice President; President and Chief Executive Officer, Boeing Global Services since April 2022. She joined Boeing in 1994, and her previous positions include Vice President and Chief Financial Officer of Boeing Commercial Airplanes from December 2020 to March 2022; Vice President and Chief Financial Officer of Boeing Global Services from January 2017 to December 2020; Vice President of Finance and Controller for Boeing Defense, Space & Security from August 2016 to December 2016; and Vice President, Financial Planning & Analysis from February 2013 to July 2016. In connection with her election, Ms. Pope will receive a base salary of $1,200,000 and will have an annual incentive target opportunity of $2,000,000 and a long-term incentive opportunity of $10,000,000, in each case effective as of January 1, 2024.
