Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On February 11, 2008, Hill International, Inc. (“Hill”) issued a press release announcing that it has received approval to list its common stock on the New York Stock Exchange (“NYSE”). Hill has notified NASDAQ of its intention to list its common stock on the NYSE and to simultaneously delist such securities from the Nasdaq Global Market. Hill anticipates that its shares of common stock will begin trading on the NYSE on February 22, 2008, under the symbol “HIL”. Until that time, Hill will continue to trade on the Nasdaq Global Market under the symbol “HINT”. Hill’s Board of Directors has approved the transfer to the NYSE. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.
