10.  DIVIDENDS

On July 31, 2012, the Company's Board of Directors declared a quarterly cash dividend of $0.07 per share of common stock outstanding, which was paid on September 28, 2012 to shareholders of record on September 14, 2012.  The dividend was recorded as a reduction to retained earnings as of September 30, 2012.  The establishment of future record and payment dates is subject to the final determination of the Company's Board of Directors.
