Item 8.01 Other Events.

On December 12, 2006, MortgageIT Holdings, Inc. (the ‘‘Company’’) issued a press release announcing that its Board of Directors declared a cash dividend of $0.09 per share of common stock for the fourth quarter of 2006. The dividend is payable on December 29, 2006, to stockholders of record as of December 22, 2006. A copy of the press release announcing the dividend is attached hereto as Exhibit 99.1 and incorporated herein by reference.
