Item 1.01

 Entry Into a Material Definitive Agreement.

 

As previously announced, in connection with that certain Business Combination Agreement, dated as of April 29, 2018, by and among T-Mobile US, Inc. (“T-Mobile”), Sprint Corporation (“Sprint”), Huron Merger Sub LLC, Superior Merger Sub Corporation, Starburst I, Inc., Galaxy Investment Holdings, Inc., and for the limited purposes set forth therein, Deutsche Telekom AG, Deutsche Telekom Holding B.V. and SoftBank Group Corp., T-Mobile USA, Inc. (“T-Mobile USA”) entered into a commitment letter (the “Original Commitment Letter”), dated as of April 29, 2018, by and among T-Mobile USA, Barclays Bank PLC, Credit Suisse AG, Deutsche Bank AG, Goldman Sachs Bank USA, Morgan Stanley Senior Funding, Inc., RBC Capital Markets, and certain of their affiliates.

 

On May 15, 2018, T-Mobile USA amended and restated the Original Commitment Letter pursuant to an amended and restated commitment letter (the “Amended and Restated Commitment Letter”), with Barclays Bank PLC, Credit Suisse AG, Deutsche Bank AG, Goldman Sachs Bank USA, Morgan Stanley Senior Funding, Inc., Royal Bank of Canada, BNP Paribas, Commerzbank AG, Credit Agricole Corporate and Investment Bank, TD Securities (USA) LLC, Wells Fargo Securities, LLC, Banco Santander, S.A., SG Americas Securities, LLC, SunTrust Bank, National Westminster Bank plc, U.S. Bank National Association, and certain of their affiliates. The Amended and Restated Commitment Letter, among other things, adds additional financial institutions as commitment parties and arrangers in respect of the financings contemplated thereby.
