Item 7.01    Regulation FD Disclosure.

Regions Financial Corporation (“Regions”) will hold its 2023 Annual Meeting of Shareholders (the “Annual Meeting”) on Wednesday, April 19, 2023, at 9:00 a.m. Central Time. A copy of the presentation materials to be used during the Annual Meeting, which contain certain deposit and liquidity information presented as of March 31, 2023, is being furnished as Exhibit 99.1 to this report, substantially in the form intended to be used. Exhibit 99.1 is incorporated by reference under this Item 2.02 and Item 7.01.

Registered and beneficial shareholders as of the Record Date of February 21, 2023 are entitled to attend, vote, and ask questions at the Annual Meeting by logging in to www.virtualshareholdermeeting.com/RF2023 using the 16-digit control number appearing on the Notice of Internet Availability of Proxy Materials, email notification, voting instruction form, or paper proxy card. Guests without a control number may also attend the meeting, but they will not be permitted to vote or ask questions.

As previously disclosed, Regions is scheduled to release its first quarter 2023 financial results on Friday, April 21, 2023.
