Item 2.02 Results of Operations and Financial Condition.

On February 10, 2022, Monolithic Power Systems, Inc. (the “Company”) issued a press release regarding its financial results for the quarter and year ended December 31, 2021, and hosted a webinar covering its financial results. Both the press release and the webinar presentation are attached hereto as exhibits and are incorporated by reference herein.

Item 8.01 Other Events.

On February 10, 2022, the Company issued a press release announcing that its Board of Directors has approved an increase in its quarterly cash dividend from $0.60 per share to $0.75 per share. The first quarter dividend of $0.75 per share will be paid on April 15, 2022 to all stockholders of record as of the close of business on March 31, 2022. A copy of the press release is attached hereto as an exhibit.
