Award of restricted stock units, each of which represents the right to receive one share of the Issuer's common stock on the applicable vesting date (one-third of the units will vest on March 3 of each of 2011, 2012 and 2013), subject to the terms and conditions set forth in the restricted stock unit agreement. The option vested and became exercisable in five equal installments on February 28, 2004, 2005, 2006, 2007 and 2008.
