(2) The registration fee was calculated in accordance with Rule 457(f)(2) under the Securities Act by multiplying the estimated number of Class A membership units together with Class B membership units of Cohen to be exchanged in the business combination by $2.45, the book value of a Class A membership unit together with one Class B membership unit of Cohen on March 31, 2009. As of August 31, 2009, the book value of a Class A membership unit together with one Class B membership unit of Cohen was $2.34.
