Item 8.01 Other Events.

On March 10, 2009, Alesco Financial Inc. (“Alesco”) held a conference call to discuss its financial results for the fourth quarter and fiscal year ended December 31, 2008. Certain matters relating to the pending merger of Alesco and Cohen Brothers, LLC were also discussed during the call. A copy of the transcript of the conference call is attached hereto as Exhibit 99.1 and incorporated herein by reference.
