Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Item 5.02 of the Company’s Form 8-K, dated October 6, 2006 and filed on October 12, 2006, is amended as follows:

(i) to disclose that Shami J. Patel was, in addition to his appointment as the Company’s chief operating officer, also appointed as the Company’s chief information officer; and

(ii) to change the references to “Cohen & Co.” and “Cohen Brothers” in Item 5.02 to “Cohen & Company”.
