ITEM 4.02.

NON-RELIANCE ON PREVIOUSLY ISSUED FINANCIALS STATEMENTS TO A RELATED AUDIT REPORT OR COMPLETED INTERIM REVIEW

 

On March 29, 2006 after consultation between the Company’s management and the Company’s registered independent auditors, Webb & Co., the Company’s board of directors concluded that the financial statements included in the Form 8K filed with the SEC on December 30, 2005 for the Company’s subsidiary Biotex Corporation required restatement and could no longer be relied upon because of an error in recording intangible assets. On such date, the Company was advised that disclosure of these facts should be made and that further action to prevent future reliance on these financial statements should be undertaken.

 

As such, the Company intends to file an amendment to its Form 8-K filed on December 30, 2005 with revised audited financial statements for Biotex Corporation as well as the pro-forma financial statements for this transaction. The Company expects to file the amended Form 8-K on or before April 15, 2006.
