Section 5 Corporate Governance and Management

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 30, 2019, Aspen Insurance Holdings Limited (“Aspen” or the “Company”) issued a press release announcing certain changes to senior management in Aspen’s reinsurance segment (“Aspen Re”), including the departure of Mr. Emil Issavi, previously the Chief Underwriting Officer and President of Aspen Re (and a named executive officer), from the Company effective May 30, 2019. Mr. Christian Dunleavy, currently Managing Director, Aspen Re and Chief Executive Officer and Chief Underwriting Officer of Aspen Bermuda Limited, succeeds Emil Issavi as Chief Underwriting Officer of Aspen Re and has been appointed to serve on Aspen’s Group Executive Committee effective May 30, 2019. A copy of the press release is attached hereto as Exhibit 99.1.
