On April 29, 2008, the reporting person was granted a Restricted Stock Award of 16,500 shares, the vesting of which was subject to the achievement of defined performance criteria. The number of shares subject to the award was reduced by 4,125 shares for each quarter during fiscal 2009 in which the Company did not achieve either (a) its quarterly revenue goals or (b) its quarterly earnings per share goals, with such goals measured as being the minimum amount set forth in the Company's publicly announced guidance for the applicable quarter.
