Item 3.02 Unregistered Sales Of Equity Securities

On February 27, 2008, our board of directors accepted a notice of redemption delivered by Class A Special Voting shareholder of our company. Accordingly, we have issued an aggregate of 1,769,231 common shares in the capital of our company. We issued the common shares in an offshore transaction relying on Regulation S and/or Section 4(2) of the Securities Act of 1933 to one non-U.S. Persons (as that term is defined in Regulation S under the Securities Act of 1933).
