The RSUs vest on the third anniversary of the grant date. This total number of RSUs includes previously-granted RSUs with different vesting and payment terms. The Reporting Person elected to convert his quarterly cash retainer fees into RSUs (the "Converted RSUs") pursuant to the Issuer's Nonemployee Director Deferred Compensation Plan (the "Plan"). The number of Converted RSUs was determined based on the closing price of the Issuer's common stock on the date on which the retainer fee became due. These RSUs are fully vested and are payable in the Issuer's common stock after the Reporting Person's separation from service as a director of the Issuer, as elected by the Reporting Person.
