        <footnote id="F2">On November 20, 2007, the reporting person was granted a total of 200,000 restricted stock units, of which 100,000 vest upon the achievement of certain performance-based milestones described further in Footnote (3) below.  On May 14, 2008, 47.5% of these performance-based restricted stock units vested as a result of achievement of certain milestones.  Vested shares will be delivered to the reporting person on the fifth anniversary of the date of grant or upon an earlier termination of the reporting person's service to Lpath due to disability, death or sale of Lpath.</footnote>
        <footnote id="F3">These performance-based restricted stock units represent the unvested remainder of 100,000 such units, the grant of which initially was disclosed on Line 2 of Table II on Form 4 filed by the reporting person with the SEC on November 23, 2007.  The vested portion of such grant is reported on Line 1 in this Table II.  These restricted stock units will vest at varying percentages upon the achievement of certain milestones related to the Company's research and clinical development.
