Explanation of Responses:

1. Shares were distributed by PFM Cornerstone Ltd., a shareholder of the Issuer, as consideration in connection with an equal capital reduction of ordinary shares undertaken by PFM Cornerstone Ltd. The number of shares distributed was calculated using a a price of A$0.76 per share, which was the closing price of Universal Biosensors, Inc securities on the Australian Securities Exchange on the record date.

2. The Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.

3. The Principals Cornerstone Fund Pty Ltd holds the reported securities on trust for the Reporting Person.

4. The reported securities are held by Andrew Denver & Linda Denver & Colin Denver & Allison Denver as trustees for the Denver Family Superannuation Fund, of which the Reporting Person is a beneficiary. The Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.
