Per the terms of the Allied Waste Industries, Inc. 2007 Senior Management Incentive Plan ("SMIP"), Reporting Person elected to have a portion of his annual cash incentive payment converted into restricted stock units ("Conversion RSUs"). The Conversion RSUs are fully vested on the date of the grant but do not convert into shares of the Issuer's Common Stock until the first anniversary date of the grant. 1-for-1 conversion (i.e., one (1) restricted stock unit was converted into one (1) share of Issuer common stock). The balance of the Conversion RSUs will be converted into shares of the Issuer's Common Stock on the first anniversary date of the grant. Per the terms of the SMIP, in addition to the Conversion RSUs, the Reporting Person received a grant of restricted stock units ("Match RSUs") equal to 50% of the Conversion RSUs.
