Of the 375,000 shares subject to the agreement, Mr. Sperling directly retains 45,097 shares. This amendment is being done to reflect the change in securities beneficially owned due to the postponement of the 3/29/04 gift of 125,000. The Form 4 filed on 4/21/04 originally stated 17,757,826 shares being directly beneficially owned which was incorrect due to the cancellation of the 125,000 share gift.
