RSUs representing shares of common stock having a fair market value of $130,000 determined in accordance with the 2012 Plan will be granted to each Outside Director on June 1 of each year (the "Date of Grant"). All RSUs will vest on the earlier to occur of the first anniversary of the Date of Grant or such date that the Outside Director ceases to be a director other than as a result of removal from office.
