Pursuant to this arrangement, after each quarter, shares with a value equal to the fees payable for that quarter, calculated using the closing price on the New York Stock Exchange ("NYSE") on the last trading day of the quarter, are delivered to each eligible director who elected before that quarter to receive shares in payment of the director fees. Under the Issuer's previously approved non-employee director compensation program, the Issuer would automatically issue to each of the Issuer's non-employee directors certain option grants as a portion of their compensation on January 1, 2011.
